TERMS AND CONDITIONS FOR THE SUPPLY OF SERVICES (“CONDITIONS”)
NEUROCLIN LIMITED – STAGE 2 EARLY DETECTION PROGRAMME IN-CLINIC DETAILED COGNITIVE AND PHYSICAL EVALUATION
These are the Conditions relative to the in-person appointment at the clinic of NeuroClin Limited (“NeuroClin”) of persons who have already undertaken Stage 1. Such persons are referred to in these Conditions as “Customer” or “you”.
At your Stage 2 in-clinic appointment you will: (1) take the Stage 2 Linus Health online memory test (“the Linus Memory Test”) and receive the Linus Memory Test results (“the Linus Memory Results”) at your appointment;(2) undergo a cognitive assessment with a NeuroClin team member and receive the results at your appointment; and (3) undergo the following (collectively “Medical Procedures”): (a) consultation with a NeuroClin doctor to discuss medical history and have a physical examination conducted; (b) vital statistics (weight, height, heart rate, blood pressure) taken; (c) ECG (electrocardiogram) testing; and (d) blood samples taken for routine tests. The blood results will not be available on the day of the appointment but will be shared with you by telephone, when available, by a NeuroClin team member when next steps will also be discussed.
In advance of your appointment please ask your GP for a copy of your medical history and bring it with you to your appointment. It is important that we have sight of this.
Access to the Linus Memory Test, the carrying out of the NeuroClin cognitive assessment, the conduct of the Medical Procedures, the provision of the Linus Memory Results, the NeuroClin cognitive assessment results and any other results of the Medical Procedures are referred to collectively as “the Services”.
By accepting these Conditions, Customer agrees to adhere to and be bound as follows.
- The fee for all of the Stage 2 Services (“the Fee”) which is currently £895 is payable in full in advance of your in-clinic appointment.
- You may reschedule your in-clinic appointment twice only provided that you do so at least 3 days before the date of the appointment. It is at NeuroClin’s discretion whether they allow a Customer to reschedule if these conditions are not met.
- Once payment of the Fee has been made, it is not refundable under any circumstances including cancellation of the in-clinic appointment.
- At the in-clinic appointment, Customer is granted a non-exclusive, non-transferable, non-sublicensable, revocable, limited licence to access the Linus Memory Test in order to carry out the Linus Memory Test and for no other use whatsoever.
- All intellectual property rights (including copyright) in the Linus Memory Test and in the software facilitating it (“the Software”) shall remain the property of Linus Health and you shall have no rights to such intellectual property other than the licence provided for in clause 4. You shall not copy or attempt to copy the contents of the Linus Memory Test.
- Copyright in the format of the Linus Memory Results (other than to the extent related to your personal data) shall also remain the property of Linus Health and you agree not to copy or use them for any purposes other than consideration of your own personal health.
- Customer will not: (i) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas or algorithms of the Software or platform on which it is built (“the Platform”) (ii) modify, translate or create derivative works based on the Software or the Platform, (iii) copy the Software; (iv) hack, manipulate, interfere with or disrupt the integrity or performance of or otherwise attempt to gain unauthorised access to the Software, Platform or related systems, hardware or networks or any content or technology incorporated in any of the foregoing; or (vi) remove, obscure or alter any proprietary notices or labels of Linus Health, its suppliers or other service providers on the Software or Platform.
- You shall not input any offensive, illegal or other inappropriate data or content to the Linus Memory Test.
- Please see our Privacy Policy which informs you as to use, processing and retention of your personal data. You will also have the opportunity to consider the Linus Health privacy notice before starting the Linus Memory Test.
- It usually takes at least ten days for the blood results to be available, but NeuroClin gives no guarantee in respect of this.
- It is possible that blood samples may become spoiled after being taken for various reasons. If this is the case in respect of your samples, a new appointment at the clinic will be scheduled and new blood samples taken free of charge.
- Nothing in these Conditions limits any liability which cannot legally be limited, including liability for death or personal injury caused by negligence.
- NeuroClin makes no warranties or representations express or implied in respect of the Linus Memory Test or the Linus Memory Results including but not limited to any warranty of merchantability or fitness for any particular purpose. The terms implied by sections 13 to 15 of the Sale of Goods Act 1979 and sections 11C, 11D and 11E of the Supply of Goods and Services Act 1982 are, to the fullest extent permitted by law, hereby excluded.
- You agree that the purchase of the Linus Memory Test and Linus Memory Results services is made by you on an “as is” basis. Neither the Linus Memory Results nor the NeuroClin cognitive assessment results are intended to provide a medical diagnosis but rather provide an indication of the state of your cognitive function. The results of the Medical Procedures are not intended to provide a diagnosis but may help to rule out other causes of memory problems and determine whether you should proceed to the next stage.
- Subject to clause 12, the maximum liability of NeuroClin to you in contract, delict, tort (including negligence), misrepresentation, restitution or otherwise in respect of any matter arising in relation to the Linus Memory Test or the Linus Memory Results shall be limited to the Fee.

These Conditions shall be governed by Scots law, and you and NeuroClin agree to be bound by the exclusive jurisdiction of the Scottish Courts.
